Our Dispute Resolution team, led by Hoong Min Cheah, together with Senior Associates Azrul Haziq Khirullah and Alina Filza Abd Muhsin successfully secured a favourable outcome for our client in a winding-up petition involving a dental healthcare company structured as a quasi-partnership.
The petition was filed on just and equitable grounds arising from a complete breakdown in the relationship between the shareholders and concerns regarding the management of the Company and Clinic.
The matter centred on several issues, including the irretrievable breakdown of the quasi-partnership between the Petitioner and Second Respondent, the Second Respondent’s tendency to prioritise personal and family interests over the interests of the Company’s members as a whole and the lack of professionalism and proper operational standards expected of a dental service provider.
After considering the evidence and submissions, the High Court allowed the Petition and ordered the Company to be wound up on just and equitable grounds. The Court further awarded costs of RM10,000.00 in favour of our client and appointed the Official Receiver as the liquidator.
This outcome highlights the Firm’s capability in handling shareholder disputes and just-and-equitable winding-up proceedings, ensuring our client’s rights and interests are effectively protected.
