Fakhrul graduated with Bachelor of Laws from International Islamic University Malaysia and was admitted to the Malaysian Bar in 2017. Fakhrul started his career in law at Messrs. Zul Rafique & Partners where he served the firm as Intern, Paralegal, Pupil-in-chambers and Associate in Corporate Energy & Utilities practice group. Throughout his practice, he was involved in numerous Merger & Acquisitions, Financing and Real Estate transactions.

Before joining Nazmi Zaini Chambers as a Partner, Fakhrul held the position of Assistant Vice President in Group Legal & Compliance department at CIMB Bank Berhad. At CIMB, he had led compliance reviews on Business Units of various segments such as Consumer Banking, Transaction Banking, Wholesale Banking and Operations to detect gaps and ensure compliance with regulatory requirements including Anti-Money Laundering, Countering Financing of Terrorism, Countering Proliferation Financing and Targeted Financial Sanctions for Financial Institutions, Foreign Exchange Policy Notices, Securities Commission Guidelines, Bursa Rules, FSA/ IFSA and Companies Act. In addition to the regular tasks of providing advice and assistance to Business Units in Malaysia and Regional Entities with regards to compliance issues, policies & procedures and risk assessment, Fakhrul had also assisted the bank to adopt data analytics approach in conducting compliance review which has proven to be cost effective and efficient for early detection of non-compliance.

Having completed Advanced Certification in Regulatory Compliance and Anti Money Laundering & Counter Financing of Terrorism of International Compliance Association (ICA) and Asian Institute of Chartered Bankers (AICB), Fakhrul is also a certified compliance officer.

Some of Fakhrul’s notable matters or achievements :-
  • conducted compliance reviews on various Business/Support Units in CIMB Bank to ensure compliance with regulatory requirements, including Anti-Money Laundering (AML), Countering Financing of Terrorism (CFT), and Targeted Financial Sanctions (TFS) for Financial Institutions, as well as Anti-Corruption, Foreign Exchange Policy, Corporate Governance, Personal Data Protection and other Bank Negara Malaysia and Securities Commission Malaysia guidelines
  • developed data analytics scripts to improve efficiency and effectiveness of compliance reviews
  • conducted risk assessments on CIMB Bank business units and regional entities to develop annual compliance review plan
  • facilitated Medivest Sdn Bhd, a public healthcare company for a corporate restructuring exercise which involved drafting, advising on, and finalizing subscription agreements, share sale agreements, and shareholders’ agreements
  • advised and represented a local statutory body for an acquisition of twenty percent (20%) interest in a development on reclaimed land, which included conducting thorough legal due diligence and preparing the sale and purchase agreement and shareholders’ agreement
  • advised and represented a local statutory body for an acquisition of a property development company in Australia, involving comprehensive legal due diligence and preparation of the subscription agreement
  • advised and represented a REIT for an acquisition of a mall in Segamat, Johor
  • facilitated Islamic financing transactions for a number local banks including preparing the relevant security documentation such as facility agreements, deed of assignment, guarantees, debentures, legal charge etc.
